("Vanton," "we," "our," or "us"), a company incorporated in Singapore. By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1 Acceptance of Terms
By accessing or using Vanton's corporate card platform, website, mobile applications, APIs, or any related services (collectively, the "Services"), you agree to comply with and be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and any changes will be effective immediately upon posting to our website. Your continued use of the Services following any changes constitutes acceptance of the revised Terms.
2 Description of Services
Vanton provides a corporate financial management platform that includes, but is not limited to:
- Corporate Card Issuance: Virtual and physical corporate cards for business expenses, with customizable spending limits and controls.
- Expense Management: Real-time transaction tracking, automated categorization, receipt matching, and reporting tools.
- Budget Controls: Department-level and individual spending limits, approval workflows, and policy enforcement.
- Integrations: API access and integrations with popular accounting and ERP software.
- Analytics & Reporting: Comprehensive dashboards and reports for financial visibility and compliance.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
3 Account Registration & Security
To access our Services, you must register for an account and provide accurate, current, and complete information. You agree to:
- Provide truthful and complete registration information, including company details and authorized signatory information.
- Maintain the security and confidentiality of your account credentials and not share them with unauthorized individuals.
- Notify Vanton immediately of any unauthorized access to or use of your account.
- Accept responsibility for all activities that occur under your account.
- Complete our Know Your Customer (KYC) and Know Your Business (KYB) verification processes as required.
Vanton reserves the right to suspend or terminate accounts that provide inaccurate information or fail to complete required verification procedures.
4 Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services for any illegal, fraudulent, or unauthorized purpose, including money laundering, terrorist financing, or any activity prohibited by applicable laws.
- Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks.
- Interfere with or disrupt the integrity or performance of the Services.
- Use the corporate cards for personal expenses unless expressly authorized by your organization.
- Reverse-engineer, decompile, or disassemble any part of the Services.
- Transmit any malware, viruses, or other harmful code through the platform.
- Circumvent or attempt to circumvent any spending limits, controls, or security measures.
5 Fees and Payments
Your use of the Services may be subject to fees as described in your subscription agreement or as published on our pricing page. Key terms regarding fees include:
- Subscription Fees: Fees are billed in accordance with the plan selected during registration and are payable in advance unless otherwise agreed.
- Transaction Fees: Certain transactions may incur additional fees, including foreign exchange fees, ATM withdrawal fees, and cross-border transaction fees, as detailed in our fee schedule.
- Late Payments: Outstanding balances may accrue interest at the rate specified in your cardholder agreement. Vanton reserves the right to suspend Services for accounts with overdue payments.
- Taxes: You are responsible for all applicable taxes, levies, and duties imposed by taxing authorities in connection with your use of the Services.
We reserve the right to change our fees upon thirty (30) days' prior written notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.
6 Intellectual Property
All intellectual property rights in the Services, including but not limited to software, designs, text, graphics, logos, trademarks, and the underlying technology, are owned by or licensed to Vanton. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services in accordance with these Terms.
You retain ownership of any data you submit through the Services. By submitting data, you grant Vanton a non-exclusive, worldwide license to use, process, and store such data solely for the purpose of providing the Services to you and as described in our Privacy Policy.
7 Limitation of Liability
To the maximum extent permitted by applicable law:
- The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
- Vanton shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Vanton's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Vanton in the twelve (12) months preceding the claim.
- Vanton shall not be liable for any loss or damage arising from unauthorized access to or alteration of your data, transactions, or transmissions.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
8 Termination
Either party may terminate these Terms as follows:
8.1 Termination by You
You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, all outstanding balances become immediately due and payable.
8.2 Termination by Vanton
Vanton may suspend or terminate your access to the Services immediately, without prior notice or liability, if:
- You breach any provision of these Terms.
- Your account is flagged for suspicious or fraudulent activity.
- Required by law, regulation, or a government authority.
- Your account has been inactive for an extended period as defined in our policies.
8.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. All outstanding card balances must be settled, and any active cards will be deactivated. Sections relating to intellectual property, limitation of liability, and governing law shall survive termination.
9 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Singapore.
For disputes that cannot be resolved through direct negotiation, the parties agree to first attempt resolution through mediation administered by the Singapore Mediation Centre before pursuing formal legal proceedings.
